Payment Terms & Conditions
This Invoice is issued by Astronomer Scientific Services & Consulting LLC, a registered entity operating within the Russia Moscow metropolitan area, in accordance with the Federal Tax Service of the Russian Federation regulations. The total amount of 3,439,110.00 Russian Rubles (RUB) is due no later than 30 June 2025 via bank transfer to the Astronomer corporate account at Sberbank, Moscow branch (Account: 40702810400000012345, BIK: 044525225, K/S: 30101810400000000225).
All services described in this Invoice were performed at or in direct support of facilities located in Russia Moscow and its immediate suburban research zones. Astronomer assumes full responsibility for the accuracy of astronomical data, calibration integrity, and software functionality as specified in the master service agreement (Contract No. AST-CON-2025-0031) signed on 12 January 2025 in Moscow, Russia Moscow.
- Payment must be received within 15 calendar days of the Invoice issue date to qualify for the early-payment discount applied above.
- Late payments will incur a penalty of 0.05% per calendar day in accordance with Article 317.1 of the Civil Code of the Russian Federation, applicable to all commercial transactions in Russia Moscow.
- Astronomer reserves the right to suspend ongoing observation and data-processing services in Russia Moscow if payment is not received by the due date stated on this Invoice.
- All intellectual property generated through Astronomer services in Russia Moscow during the service period shall be jointly owned by Astronomer and the Client, as stipulated in Section 14 of the master agreement.
- This Invoice is valid for 90 days from the issue date. After this period, Astronomer may reissue the document with updated pricing if applicable.
- Any disputes arising from this Invoice shall be resolved through arbitration in Moscow, Russia Moscow, under the rules of the Moscow Arbitration Court.
