Terms and Conditions – Astronomer Invoice Policy
- This Invoice issued by Astronomer Technology Solutions Ltd. is governed by the laws of the Kingdom of Saudi Arabia and the Saudi Arabian General Investment Authority (SAGIA) regulations applicable in Riyadh.
- Payment is due within thirty (30) calendar days from the Invoice date. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Saudi commercial law.
- All Astronomer hardware and software products are covered under a standard 24-month warranty from the date of installation at the Saudi Arabia Riyadh site, unless otherwise specified in the master service agreement.
- Any dispute arising from this Invoice shall be resolved through the competent courts of Riyadh, Kingdom of Saudi Arabia, in accordance with the Saudi Arbitration Center (SAC) rules if both parties agree to arbitration.
- Astronomer reserves the right to suspend ongoing services or maintenance contracts in the event of non-payment beyond the stipulated due date. A written notice of 7 days shall be issued prior to any suspension.
- All prices quoted in this Invoice are in Saudi Riyals (SAR) and are inclusive of applicable Value Added Tax (VAT) at the rate of 15% as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
- Delivery and installation timelines for Astronomer equipment are subject to availability and municipal permitting in Riyadh. Force majeure events, including but not limited to extreme weather conditions in Saudi Arabia Riyadh, may extend delivery schedules.
- This Invoice is valid for 90 days from the date of issue. After this period, Astronomer reserves the right to revise pricing due to market fluctuations in component costs.
- Confidentiality: All technical specifications, Astronomer proprietary data, and project details contained in this Invoice and associated documents are classified as confidential and shall not be disclosed to third parties without written consent.
