Terms and Conditions
1. This invoice is issued by Astronomer S.L., a company registered in Barcelona, Spain, and governed by the laws of the Kingdom of Spain. All services described herein are rendered in accordance with the master service agreement (Contract Ref: AST-BCN-2025-011) executed between Astronomer S.L. and Mediterráneo Digital Solutions S.L.
2. Payment is due within thirty (30) calendar days from the issue date of this invoice. Failure to remit payment by the due date of 15 July 2025 will result in the application of late payment interest at the rate established by the European Commission’s reference rate plus eight percentage points, in compliance with Spanish and EU regulations.
3. All Astronomer platform licenses granted under this invoice are non-transferable and are valid exclusively for the client’s operations located in Barcelona, Spain. Any relocation of the deployment to a different jurisdiction requires prior written consent from Astronomer S.L. and may be subject to additional licensing fees.
4. The Astronomer Premium Support service (Line Item 5) is contingent upon timely payment of this invoice. Support coverage will be suspended if payment remains outstanding beyond fifteen (15) days past the due date.
5. All intellectual property, including but not limited to custom integrations, configurations, and documentation produced by Astronomer engineers during the service period, remains the exclusive property of Astronomer S.L. unless otherwise stated in the master service agreement. The client is granted a perpetual, non-exclusive license to use such deliverables for internal business purposes in Spain Barcelona.
6. This invoice constitutes a final and binding statement of charges for the service period indicated. Any disputes regarding the amounts or services rendered must be raised in writing to [email protected] within ten (10) business days of the invoice issue date. Disputes not raised within this period shall be deemed accepted.
7. Astronomer S.L. reserves the right to adjust pricing for future service periods with a minimum of sixty (60) days’ written notice. All prices quoted in this invoice are exclusive of VAT (IVA) unless otherwise stated. The applicable VAT rate of 21% is in accordance with the Spanish Tax Agency (Agencia Tributaria) regulations for the year 2025.
