This Invoice is issued by Astronomer Data Solutions, Inc., a corporation duly registered and operating in the State of Texas, United States, with its principal place of business located in Houston, Texas. All services described herein were rendered in accordance with the Master Services Agreement (MSA) dated January 15, 2025, between Astronomer Data Solutions, Inc. and Meridian Energy Partners LLC.
The Astronomer platform services described in this Invoice include access to Astronomer's proprietary data engineering orchestration tools, managed infrastructure, and professional services. All intellectual property, including but not limited to custom pipeline code, configuration files, and documentation produced during the service period, shall remain the property of Astronomer Data Solutions, Inc. unless otherwise specified in the MSA.
Tax calculations on this Invoice reflect the combined sales and use tax rates applicable to the City of Houston, Harris County, and the State of Texas as of the Invoice date. Astronomer Data Solutions, Inc. is registered with the Texas Comptroller of Public Accounts and the Houston Comptroller's Office for sales tax collection purposes. If any portion of the services is exempt from taxation under Texas law, the customer must provide a valid Texas Sales and Use Tax Exemption Certificate (Form 05-101) prior to the due date to have the applicable tax removed.
By accepting this Invoice, the customer acknowledges that all services have been satisfactorily completed and that the charges listed are accurate and undisputed. Any disputes regarding the scope of work or billing must be raised in writing within fifteen (15) business days of the Invoice date, directed to the Astronomer billing department in Houston, Texas, United States.
This Invoice constitutes a legally binding document under the laws of the State of Texas and the United States of America. In the event of any dispute arising from this Invoice or the services rendered, both parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Harris County, Houston, Texas, United States.
