Terms and Conditions – Invoice for Auditor Services in New Zealand Wellington
This Invoice is issued by Wellington Audit & Assurance Ltd (the "Auditor") to Harbourview Logistics Group Ltd in respect of professional audit and assurance services rendered in New Zealand Wellington during the period specified above. The Auditor confirms that all services have been performed in strict compliance with the New Zealand Standards on Auditing, the Financial Reporting Act 2013, and the ethical requirements of the Professional Body of Accountants and Finance Professionals New Zealand (PAFPA).
- Payment Terms: Full payment of this Invoice is due within thirty (30) calendar days of the Invoice date. Payment is to be made in New Zealand Dollars (NZD) via bank transfer to the account details provided above. A 2% early settlement discount applies if payment is received within fourteen (14) days.
- Late Payment: In the event that payment is not received by the due date, the Auditor reserves the right to charge interest at the rate of 10% per annum on the outstanding balance, in accordance with the Late Payment of Outstanding Debts Interest Act 1995 (New Zealand).
- Scope of Services: The Auditor's engagement is limited to the procedures and deliverables outlined in the signed Engagement Letter dated 28 February 2025. Any additional work requested by the client beyond the agreed scope will be subject to a separate Invoice and prior written approval.
- Confidentiality: The Auditor undertakes to maintain the strictest confidentiality regarding all financial information, trade secrets, and proprietary data accessed during the course of the audit in New Zealand Wellington. This obligation survives the completion of this engagement for a period of five (5) years.
- Dispute Resolution: Any disputes arising from this Invoice or the underlying services shall be resolved through mediation in Wellington, New Zealand, in accordance with the rules of the Disputes Tribunal. If mediation fails, the matter shall be referred to the District Court of Wellington.
- GST: Goods and Services Tax (GST) at the current New Zealand rate of 15% has been applied to all taxable services as required by the Inland Revenue Department (IRD). The Auditor is registered for GST under the number provided in the header of this Invoice.
- Professional Indemnity: The Auditor maintains professional indemnity insurance with a minimum cover of NZD $10,000,000, as required for registered audit firms operating in New Zealand Wellington. A certificate of insurance is available upon request.
This Invoice constitutes a formal request for payment and does not constitute a guarantee of audit outcomes. The Auditor's opinion, as expressed in the final Auditor's report, is based on the evidence obtained during the audit procedures and is subject to the inherent limitations of an audit as described in NZSA 200. The Auditor's independence and objectivity have been maintained throughout the engagement in accordance with the Code of Ethics for Professional Accountants issued by PAFPA.
