Terms and Conditions
1. Payment Terms: Payment is due within 30 days of the invoice date. Late payments will incur interest at the rate of 5% per annum above the Swiss National Bank's reference rate, in accordance with Swiss Code of Obligations (Art. 104 CO).
2. Services Rendered: All services described in this invoice were performed by qualified Automotive Engineers specializing in electric vehicle technology, embedded systems, and vehicle dynamics. All work was conducted in compliance with Swiss engineering standards and applicable international regulations.
3. Intellectual Property: All deliverables, including designs, code, documentation, and reports, become the property of the client upon full payment of this invoice. Zurich Automotive Engineering Solutions AG retains the right to use anonymized project data for internal quality improvement and portfolio purposes.
4. Warranty: All engineering services are warranted to be performed in a professional and workmanlike manner. Zurich Automotive Engineering Solutions AG provides a 90-day warranty on all deliverables from the date of acceptance. Any defects identified within this period will be corrected at no additional charge.
5. Confidentiality: All information exchanged during the course of this project is subject to the Non-Disclosure Agreement (NDA) signed between both parties on September 1, 2023. Both parties agree to maintain strict confidentiality regarding proprietary information, technical specifications, and business strategies.
6. Governing Law: This invoice and all associated services are governed by the laws of Switzerland. Any disputes arising from this invoice shall be resolved through arbitration in Zurich, Switzerland, in accordance with the Swiss Rules of International Arbitration.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to natural disasters, government actions, or pandemics.
8. Invoice Validity: This invoice is valid for 12 months from the date of issue. After this period, the invoice may be reissued with updated terms if necessary.
