Invoice Terms, Conditions & Banker's Notes
1. This Invoice is issued by the undersigned Banker in accordance with the Master Service Agreement (MSA) dated 01 January 2025 between Colombo Premier Banker & Financial Advisory Ltd. and Meridian Trading & Logistics (Pvt) Ltd. All services were rendered within the jurisdiction of Sri Lanka Colombo.
2. Payment of this Invoice shall be made via bank transfer to the Banker's designated account: Commercial Bank of Ceylon, Colombo Main Branch, Account No. 1010-0045-8821-001, SWIFT: CBLKLKLX. The Banker requests that the reference "INVOICE BLK/2025/04782" be quoted on all remittances.
3. The Banker reserves the right to suspend all banking advisory and trade finance services in Sri Lanka Colombo should payment of this Invoice remain outstanding beyond the due date of 30 June 2025. Late payment shall attract interest at the rate of 2% per month, compounded monthly, as stipulated under the MSA and consistent with Sri Lankan commercial banking practices.
4. All foreign exchange transactions and hedging instruments referenced in this Invoice have been executed in full compliance with the Monetary Policy of the Central Bank of Sri Lanka and the Foreign Exchange Act No. 12 of 2000. The Banker confirms that all necessary approvals from the Sri Lanka Colombo regulatory authorities have been obtained.
5. This Invoice constitutes a final and binding statement of charges for the service period indicated. The Banker shall not be liable for any consequential losses arising from the client's failure to remit payment within the stipulated timeframe. Disputes, if any, shall be resolved through arbitration in Colombo, Sri Lanka, under the rules of the Sri Lanka International Arbitration Centre.
6. The Banker acknowledges receipt of all client documents and confidential financial data provided during the service period and confirms that such information shall be treated in strict confidence in accordance with the Banking Act No. 1 of 1996 of Sri Lanka and applicable data protection regulations in Colombo.
