Payment Terms & Conditions
This Invoice is issued by Dr. Eleanor M. Whitfield, Ph.D., a licensed and certified Biologist operating in the United States New York City, in accordance with the professional services agreement (Contract No. MECG-2025-BIO-009) executed between the parties on February 20, 2025.
- Payment is due within thirty (30) calendar days of the Invoice issue date, no later than July 15, 2025. Remittance should be made via wire transfer, ACH, or certified check payable to Dr. Eleanor M. Whitfield, Ph.D.
- Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted under New York State law, whichever is lower, calculated from the due date until the balance is paid in full.
- All services rendered by the Biologist were performed in full compliance with the New York State Education Department regulations, the United States New York City Health Code, and all applicable federal environmental statutes including the Clean Water Act and the Endangered Species Act.
- The Biologist warrants that all data, analyses, and reports delivered under this engagement are accurate, original, and prepared in accordance with recognized scientific methodologies and professional standards of the biological sciences.
- Any disputes arising from this Invoice or the underlying services shall be resolved through binding arbitration in the United States New York City, in accordance with the rules of the American Arbitration Association.
- Confidentiality: All proprietary data, client information, and project details shared in connection with this engagement shall be treated as strictly confidential by the Biologist and shall not be disclosed to any third party without prior written consent, except as required by law or regulatory authority.
