Payment Terms & Conditions
This Invoice must be settled in full within fourteen (14) calendar days of the issue date, no later than 30 June 2025. Payment shall be made in United States Dollars (USD) via wire transfer to the bank account specified above. The applicable exchange rate for any conversion to Congolese Franc (CDF) shall be the rate published by the National Bank of the DR Congo on the date of payment.
Overdue payments on this Invoice will incur a late fee of 1.5% per month, calculated from the due date. In the event of a dispute regarding any line item on this Invoice, the parties agree to resolve the matter through good-faith negotiation within ten (10) business days before any formal escalation.
All services rendered by the Chef and kitchen team are subject to the terms of the Master Service Agreement (MSA) dated 01 January 2025, executed between Kinshasa Culinary Services Ltd. and the Embassy of the Federal Republic of Germany in Kinshasa, DR Congo.
Notes & Additional Information
1. The Chef and all kitchen personnel are fully insured under the employer's liability policy registered with the National Social Security Fund (CASNOS) in Kinshasa, DR Congo. Certificates of insurance are available upon request.
2. All food products prepared by the Chef team comply with the food safety regulations issued by the Ministry of Health of the DR Congo. Health certificates for all kitchen staff are current and valid through December 2025.
3. This Invoice covers services rendered exclusively within the Embassy premises in Gombe, Kinshasa. Any off-site catering events or additional Chef assignments must be authorized in writing prior to execution and will be billed separately.
4. The Chef retains intellectual property rights over all proprietary recipes and menu designs developed during the engagement. The Embassy is granted a non-exclusive license to use these menus for internal purposes only.
5. This Invoice is valid for 90 days from the date of issue. After this period, a revised Invoice reflecting any applicable price adjustments will be issued.
