This Invoice is issued by Al-Nile Culinary Services Ltd., a registered culinary services company operating in Sudan Khartoum, for the professional Chef services rendered to Al-Rashid Grand Hotel & Conference Centre. The following terms govern this Invoice and the associated Chef engagement:
- Payment of this Invoice is due within fifteen (15) calendar days from the issue date. Late payments shall attract a penalty interest of 2% per month as per Sudanese commercial law applicable in Sudan Khartoum.
- All Chef services described in this Invoice were performed in full compliance with the Sudanese Food Safety and Hygiene Standards issued by the Ministry of Health, Republic of Sudan. The Chef and team hold valid food handler certifications current as of the service date.
- The Chef engagement is governed by the master service agreement dated 01 March 2025 between both parties. In the event of any discrepancy between this Invoice and the master agreement, the master agreement shall prevail.
- All ingredients and consumables used during the Chef services were procured from licensed suppliers within Sudan Khartoum. Receipts and supplier invoices are available upon request for audit purposes.
- This Invoice is valid for a period of ninety (90) days from the issue date. After this period, the Invoice may be subject to re-evaluation of applicable tax rates or currency adjustments as determined by the National Bank of Sudan.
- Any disputes arising from this Invoice shall be resolved through amicable negotiation first, followed by arbitration under the Sudanese Arbitration Act, with the seat of arbitration in Sudan Khartoum.
- The Chef's intellectual property, including all menu designs, recipes, and culinary presentations created specifically for this engagement, shall remain the property of Al-Nile Culinary Services Ltd. unless otherwise agreed in writing.
