Terms, Conditions & Payment Instructions
This Invoice is issued by EduKin Consulting Ltd., a registered Curriculum Developer firm operating in Kinshasa, DR Congo, in accordance with Contract No. MINESEC-CD-2025-089 and the applicable provisions of the Congolese Commercial Code.
- Payment Due: Full payment of this Invoice is due within fifteen (15) calendar days from the date of issuance, i.e., no later than 30 June 2025. Payment shall be made via bank transfer to the account specified above.
- Late Payment: Overdue amounts shall accrue interest at a rate of 1.5% per month, in compliance with the commercial regulations of the Democratic Republic of Congo.
- Deliverable Acceptance: All Curriculum Developer outputs referenced in this Invoice are subject to a ten (10) business-day review period by the Ministry. Failure to provide written objection within this period shall constitute acceptance.
- Intellectual Property: Upon full and final payment, all rights to the curriculum materials, modules, assessment tools, and associated documentation developed by the Curriculum Developer shall transfer to the Ministry of Secondary Education, DR Congo.
- Dispute Resolution: Any dispute arising from this Invoice or the underlying contract shall be resolved through the competent commercial courts of Kinshasa, DR Congo, in accordance with Congolese law.
- Validity: This Invoice is valid for ninety (90) days from the date of issuance. After this period, a revised Invoice reflecting any applicable currency adjustments or regulatory changes in the DR Congo shall be issued.
