Terms and Conditions – Curriculum Developer Engagement in Naples, Italy
1. This Invoice constitutes the final billing document for all Curriculum Developer services rendered by EdiCurriculum Napoli S.r.l. to Istituto Tecnico Superiore "G. Marconi" during the service period specified above. All deliverables have been accepted in writing by the Client's Director of Academic Affairs on 28 May 2025.
2. The Curriculum Developer, Dr. Alessandro De Santis, warrants that all curriculum materials developed under this engagement are original, free from intellectual property infringement, and fully compliant with the Italian national education standards, the regional directives of Regione Campania, and the European Union directives on vocational education and training applicable in Italy.
3. All Curriculum Developer work products, including but not limited to the Master Curriculum Document, modular unit specifications, assessment frameworks, and training materials, remain the exclusive intellectual property of the Client upon full settlement of this Invoice. The Curriculum Developer retains the right to reference the project in professional portfolios and academic publications, subject to the Client's prior written approval for any disclosure of proprietary institutional data.
4. This Invoice is governed by the laws of the Italian Republic. Any disputes arising from this Invoice or the underlying Curriculum Developer services agreement shall be resolved exclusively by the competent courts of Naples (Napoli), Italy. The parties agree to attempt mediation through the Camera di Commercio di Napoli before initiating any formal legal proceedings.
5. The Curriculum Developer services were performed in full compliance with the Italian data protection regulations (GDPR and D.Lgs. 196/2003 as amended). No personal data of students or staff was collected, stored, or processed beyond what was strictly necessary for the curriculum development activities in Naples.
6. This Invoice is valid for 90 days from the date of issue. After this period, the Client is requested to confirm in writing whether the Invoice remains outstanding. The Curriculum Developer reserves the right to suspend any further advisory support services until the outstanding balance is cleared.
