1. This Invoice is issued by EduVision Learning Solutions, a registered entity in Saudi Arabia Riyadh, in accordance with the terms outlined in Contract No. CTR-2025-0091. All services rendered by the Curriculum Developer were completed and accepted by the client as of 10 June 2025.
2. Payment is due within thirty (30) calendar days from the date of this Invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Saudi commercial law and the Zakat and Tax Authority (ZATCA) regulations.
3. The Curriculum Developer retains full intellectual property rights over all proprietary methodologies, frameworks, and templates used during the engagement. The client receives a perpetual, non-transferable license to use the developed curriculum materials for educational purposes within Saudi Arabia Riyadh public schools.
4. All deliverables have been reviewed and approved in writing by the designated project manager at the Ministry of Education Regional Directorate. No further revisions beyond the scope defined in the Statement of Work are included in this Invoice.
5. This Invoice is subject to the 15% Value Added Tax (VAT) as mandated by the Zakat, Tax and Customs Authority (ZATCA) of the Kingdom of Saudi Arabia. The VAT amount is itemized separately above for compliance and audit purposes.
6. In the event of any dispute arising from this Invoice or the associated services, both parties agree to first seek resolution through amicable negotiation in Riyadh, Saudi Arabia, before resorting to formal arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA).
7. This Invoice constitutes a final and complete statement of all charges for the Curriculum Developer services described herein. No additional fees, expenses, or costs shall be invoiced for this project phase without prior written authorization from both parties.
