This Invoice is issued by Edinburgh & Birmingham Learning Solutions Ltd., a Curriculum Developer services firm registered in England and Wales, operating primarily in Birmingham, United Kingdom. All services described herein were rendered by a qualified Curriculum Developer in full compliance with the Education (Schools) Act 2002 and applicable Department for Education regulations.
- Payment is due within thirty (30) calendar days of the Invoice issue date, i.e., no later than 14 July 2025. Late payments will incur interest at the rate of 4% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998.
- All Curriculum Developer deliverables, including curriculum frameworks, schemes of work, assessment instruments, and the Curriculum Developer's Handbook, remain the intellectual property of Edinburgh & Birmingham Learning Solutions Ltd. until full payment of this Invoice is received.
- The Curriculum Developer warrants that all materials produced for the United Kingdom Birmingham education sector are original, free from plagiarism, and aligned with the most current National Curriculum for England (2014, as amended).
- Any disputes arising from this Invoice shall be governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Refunds for completed Curriculum Developer services are not available. Partial refunds for uncompleted milestones will be assessed on a pro-rata basis at the sole discretion of the Curriculum Developer.
- This Invoice constitutes a legally binding document. By accepting the services described, the client acknowledges and agrees to all terms stated herein.
