Method 3 — ACH Debit: Available upon written authorization. Processing time: 3–5 business days within the United States New York City banking corridor.
Payment Terms: Net 30 days from the date of this Invoice. A late payment fee of 1.5% per month will be applied to any balance outstanding beyond the due date of July 12, 2025, in accordance with New York State commercial transaction statutes.
Notes & Terms of Service
This Invoice represents the final billing for all Curriculum Developer services rendered under Contract Agreement BHA-2025-CD-0042, executed on February 20, 2025, between Whitfield Curriculum Design Studio LLC (the Curriculum Developer) and Brooklyn Heights Academy (the Client), both operating within the jurisdiction of United States New York City.
All intellectual property rights to the curriculum materials, lesson plans, digital modules, and associated documentation developed by the Curriculum Developer during the service period are transferred to the Client upon full payment of this Invoice, as stipulated in Section 14 of the master agreement.
The Curriculum Developer warrants that all deliverables comply with New York State Education Department regulations, New York City Department of Education procurement guidelines, and applicable federal education funding requirements. Any post-delivery revisions requested by the Client beyond the scope defined in the original Statement of Work will be billed separately at the Curriculum Developer's standard hourly rates.
This Invoice is governed by the laws of the State of New York. Any disputes arising from this Invoice or the underlying services shall be resolved through binding arbitration in New York City, United States, in accordance with the rules of the American Arbitration Association.
Please direct any questions or discrepancies regarding this Invoice to the Curriculum Developer at the contact information listed above within ten (10) business days of the Invoice date. Failure to dispute within this period shall constitute acceptance of the charges as stated.
