Invoice Terms & Conditions – Diplomat International Services Ltd., Dhaka
1. This Invoice is issued by Diplomat International Services Ltd., a registered entity operating under the laws of the People's Republic of Bangladesh, with its principal office located in the Banani Diplomatic Zone, Dhaka 1213. All services described herein are rendered exclusively within the jurisdiction of Bangladesh Dhaka unless otherwise stated in the master service agreement.
2. Payment of this Invoice is due within fifteen (15) calendar days from the Invoice date of 15 June 2025. The total amount of BDT 2,405,225.00 (Two Million Four Hundred Five Thousand Two Hundred Twenty-Five Taka only) shall be remitted via bank transfer to the Diplomat corporate account at Sonali Bank PLC, Banani Branch, Dhaka, Bangladesh. Account No.: 001-4567-8901-2345. SWIFT: SNLBBD22.
3. Diplomat International Services Ltd. reserves the right to apply a late payment penalty of 1.5% per month on any outstanding balance beyond the due date of 30 June 2025, in accordance with the Bangladesh Negotiable Instruments Act and the terms of Contract No. DIP-CTR-2025-0031.
4. All services provided under this Invoice are subject to the Diplomat Quality Assurance Framework and the diplomatic service standards mandated by the Bangladesh Foreign Ministry for entities operating within the Dhaka Diplomatic Zone. Any disputes arising from this Invoice shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Bangladesh Arbitration Act, 2001.
5. This Invoice constitutes the final billing for the service period of 01 May 2025 through 31 May 2025. No additional charges shall be levied for the items listed above. Any services rendered outside the scope of the contracted Diplomat service agreement will be invoiced separately with prior written approval from the client.
6. Diplomat International Services Ltd. confirms that all personnel assigned to this engagement in Dhaka, Bangladesh, have undergone thorough background verification, security clearance, and diplomatic protocol training as required for operations within the Banani Diplomatic Zone. All staff are employed in full compliance with the Bangladesh Labor Act, 2006, and applicable expatriate employment regulations.
7. The client is requested to retain this Invoice for their official records and for submission to the relevant diplomatic mission's financial authority in their home country. A digital copy of this Invoice has been transmitted via secure email to the billing contact listed above.
