Terms and Conditions
1. This invoice is issued by Diplomat International Services LLC, a registered entity in the Russian Federation, for diplomatic and protocol services rendered in Moscow, Russia. All services are governed by the terms of Contract Reference DIP/CON/2025/0031 and applicable Russian Federation legislation, including the Civil Code of the Russian Federation and the Federal Law on International Commercial Arbitration.
2. Payment is due within fifteen (15) calendar days from the issue date of this invoice, no later than 30 June 2025. Late payments shall accrue interest at a rate of 0.1% per calendar day on the outstanding balance, in accordance with Article 395 of the Civil Code of the Russian Federation.
3. All diplomatic services described herein are subject to the confidentiality provisions outlined in the master service agreement between Diplomat International Services and the Federal Directorate. No information pertaining to the nature, scope, or content of diplomatic engagements conducted in Moscow, Russia, shall be disclosed to any third party without prior written consent of both parties.
4. Diplomat International Services reserves the right to suspend services immediately upon receipt of written notice of non-payment exceeding thirty (30) days from the due date. In such cases, all ongoing diplomatic coordination activities in Moscow, Russia, will be placed on hold pending resolution of the outstanding balance.
5. This invoice constitutes a final statement of account for the engagement period of 1 April 2025 through 30 June 2025. Any additional services rendered beyond the scope of the original contract must be authorized in writing by the Chief of Protocol prior to execution and will be invoiced separately.
6. All disputes arising from this invoice or the underlying diplomatic services agreement shall be resolved through arbitration in Moscow, Russia, in accordance with the rules of the Arbitration Center of the Moscow Chamber of Commerce and Industry. The language of arbitration shall be Russian, with English translations provided for all diplomatic documents as required.
7. Diplomat International Services is not liable for any delays or disruptions in service caused by force majeure events, including but not limited to government-mandated closures, sanctions-related restrictions, or extraordinary security measures imposed by the authorities in Moscow, Russia.
