This Invoice is issued by Meridian Digital Solutions Ltd., a company registered in the State of Israel, for the supply, deployment, and ongoing support of the Editor software platform at the client's premises located in Israel Jerusalem. All terms herein are governed by the laws of the State of Israel.

• Payment: The full amount stated on this Invoice is due within thirty (30) calendar days from the issue date. Payment shall be made via bank transfer to the account details provided below. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
• Editor License Scope: The Editor licenses granted under this Invoice are non-transferable and restricted to use exclusively within the client's operational facilities in Israel Jerusalem. Any redistribution, sublicensing, or use of the Editor software outside the designated Israel Jerusalem premises without prior written consent from Meridian Digital Solutions Ltd. is strictly prohibited.
• Warranty: The Editor software is warranted to be free from material defects in workmanship and performance for a period of twelve (12) months from the date of installation. This warranty covers the Editor core application, all included plugins, and the associated cloud storage infrastructure.
• Support: Technical support for the Editor platform shall be provided in both English and Hebrew. Support requests originating from the Israel Jerusalem office shall be handled by our local support team based in Jerusalem, ensuring minimal response times and on-site availability when required.
• Data Compliance: All Editor project data stored in the cloud add-on shall reside exclusively on servers located within Israel Jerusalem, in full compliance with Israel's Privacy Protection Law, 5741-1981, and the IL-12A data security certification standards.
• Invoice Disputes: Any disputes regarding this Invoice or the Editor services rendered must be raised in writing within fourteen (14) days of the Invoice issue date. Failure to do so shall constitute acceptance of the Invoice terms and amounts.
• Governing Law: This Invoice and all associated Editor service agreements shall be governed by and construed in accordance with the laws of the State of Israel. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Israel Jerusalem.
