Any intermediary bank charges shall be borne by the paying party. The Editor services described in this Invoice remain subject to the terms of Contract No. MES-NPH-2025-009.
Terms and Conditions
1. This Invoice constitutes a formal request for payment for Editor services rendered and to be rendered under the referenced contract. All editorial deliverables are subject to the scope of work defined in the Statement of Work annexed to Contract No. MES-NPH-2025-009.
2. The Editor services are to be performed in accordance with the editorial standards applicable to publications distributed in Russia, with particular attention to the linguistic and cultural conventions observed in the Saint Petersburg publishing community.
3. Late payments shall incur a penalty of 1.5% per calendar month on the outstanding balance, calculated from the due date stated above. This penalty is in addition to any rights reserved under the governing law of the contract.
4. All intellectual property in the final edited manuscripts and documents shall transfer to the client upon full and final payment of this Invoice. Until such payment is received, the Editor retains all rights in the working drafts and editorial notes.
5. This Invoice is governed by the laws of England and Wales. Any disputes arising from this Invoice or the associated Editor services shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom, unless otherwise agreed in writing by both parties.
6. The client acknowledges that the Editor services described herein are professional editorial services and do not constitute legal, financial, or tax advice. The client in Saint Petersburg, Russia, is responsible for ensuring compliance with all local regulatory requirements for the publication and distribution of the edited materials.
