Terms and Conditions of This Invoice
This Invoice is issued by Kampala Creative Editor Studio Ltd., a registered editorial services company operating in Uganda Kampala, in accordance with the Uganda Revenue Authority (URA) invoicing regulations and the Uganda Companies Act, 2012.
- All editorial services described in this Invoice were performed by qualified Editor professionals at the Kampala Creative Editor Studio facility or at the client's designated premises within Uganda Kampala, between 1 March 2025 and 10 June 2025.
- Payment of this Invoice shall be made via bank transfer to the account details below within fifteen (15) calendar days of the Invoice date. Late payments shall attract a penalty interest of 2% per month as stipulated under the Uganda Interest on Late Payment of Government Debts Act.
- The Editor retains full intellectual property rights over all proprietary editing techniques, templates, and workflows employed during the engagement. The client receives a perpetual, royalty-free license to use the final edited deliverables for commercial and broadcast purposes.
- All raw footage, source documents, and intermediate project files shall be securely deleted from the Editor's systems within thirty (30) days of final delivery, unless a separate data retention agreement is executed in writing.
- This Invoice is subject to the jurisdiction of the courts of Uganda Kampala. Any disputes arising from the services rendered or the payment terms herein shall be resolved through arbitration under the Uganda Arbitration Act, 2000, with the seat of arbitration in Kampala.
- The Editor warrants that all services were performed with professional skill, care, and in compliance with the Uganda Communications Commission (UCC) content guidelines applicable to broadcast material produced in Uganda Kampala.
- Any amendments, revisions, or additional editorial work beyond the scope defined in this Invoice shall be subject to a separate change order and supplementary Invoice at the Editor's standard hourly rate of UGX 350,000 per hour.
