Terms, Conditions & Notes Regarding This Invoice
This Invoice is issued by Miami Editorial Studio LLC, a Florida-registered limited liability company operating in the United States Miami metropolitan area. All Editor services described herein were performed in accordance with the Master Service Agreement (MSA) dated March 1, 2025, between the parties. The Editor services encompass copyediting, developmental editing, technical editing, video post-production, editorial project management, and bilingual localization as itemized above.
- Payment Terms: Payment of the full Invoice amount of $27,827.00 USD is due within thirty (30) calendar days of the Invoice date. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted under Florida state law, whichever is lower.
- Payment Instructions: Please remit payment via ACH wire transfer to Miami Editorial Studio LLC, Bank of America, Account No. 4471-903-2281, Routing No. 026009593, Reference: Invoice MIA-2025-04782. Checks may be mailed to the United States Miami address listed above.
- Editor Deliverables: All final edited manuscripts, video files, and localized documents have been delivered to the client's secure portal on May 30, 2025. The Editor retains no copies of client source materials beyond the project completion date unless otherwise agreed in writing.
- Revisions: This Invoice covers one (1) round of revisions per deliverable. Additional revision requests beyond the agreed scope will be billed at the applicable Editor hourly rate and invoiced separately.
- Confidentiality: The Editor and all editorial team members are bound by the Non-Disclosure Agreement (NDA) executed on March 1, 2025. All materials processed in the United States Miami facility are handled in strict accordance with the confidentiality provisions therein.
- Dispute Resolution: Any disputes arising from this Invoice or the underlying Editor services shall be resolved through binding arbitration in Miami-Dade County, Florida, United States, in accordance with the rules of the American Arbitration Association.
- Tax Compliance: All applicable taxes, including Florida state sales tax and Miami-Dade County surcharges, have been calculated and included in this Invoice. The client is responsible for any additional federal tax obligations.
- Invoice Validity: This Invoice is valid for ninety (90) days from the date of issue. After this period, the Editor reserves the right to reissue the Invoice with updated tax calculations and any applicable late fees.
