TERMS AND CONDITIONS
- Scope of Work: This invoice covers only the services explicitly listed above. Any additional work requested by the client in Kampala must be authorized via a Change Order Form signed by both parties.
- Payment Terms: Payment is due within 14 days of the invoice date. Late payments will incur a penalty interest of 2% per month on the outstanding balance, in accordance with Ugandan commercial law.
- Intellectual Property: Upon full payment of this invoice, all intellectual property rights regarding the custom circuit designs and firmware developed by the Electronics Engineer shall be transferred to the client.
- Warranty: All engineering designs and software solutions are warranted to be free from defects for a period of 12 months from the date of acceptance. This warranty does not cover physical damage to hardware caused by improper installation or environmental factors.
- Dispute Resolution: Any disputes arising from this invoice or the services provided shall be resolved through amicable negotiation. If unresolved, the matter shall be subject to the jurisdiction of the courts of Uganda, specifically in Kampala.
- Tax Compliance: Apex Electronics Engineering Ltd. is fully registered with the Uganda Revenue Authority (URA). The VAT charged on this invoice is remitted to the URA in compliance with national tax laws.
