Terms & Conditions – Film Director Services Invoice

  • This Invoice represents the final and complete billing for all Film Director services rendered by Jonathan R. Whitfield (Whitfield Film Direction LLC) for the production of "Bay City Chronicles" in San Francisco, United States. No additional charges will be incurred beyond the amounts stated herein unless a written change order is executed by both parties.
  • Payment is due within thirty (30) calendar days from the Invoice date of June 12, 2025. The Film Director services were performed in the city and county of San Francisco, State of California, United States, and all applicable federal, state, and local tax obligations have been calculated and included in this Invoice.
  • Overdue payments on this Invoice will be subject to a late fee of 1.5% per month or the maximum rate permitted under California Civil Code Section 1671, whichever is less. The Film Director reserves the right to suspend any remaining post-production obligations, including final cut approval and delivery of director's notes, until full payment of this Invoice is received.
  • All creative materials, including but not limited to storyboards, shot lists, director's treatment documents, and editorial notes produced by the Film Director during the course of this engagement, remain the intellectual property of Whitfield Film Direction LLC unless a separate written assignment agreement is executed. The client, Golden Gate Productions Inc., receives a perpetual, royalty-free license to use such materials solely in connection with the production and distribution of "Bay City Chronicles."
  • This Invoice is governed by the laws of the State of California, United States. Any disputes arising from or related to this Invoice or the Film Director services described herein shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
  • The Film Director confirms that all services described in this Invoice were performed in compliance with all applicable San Francisco municipal ordinances, California state labor regulations, and United States federal employment and tax laws. Whitfield Film Direction LLC is a registered limited liability company in the State of California and holds all necessary business licenses to operate in the city of San Francisco.
  • Please reference Invoice Number SF-FD-2025-0487 on all correspondence and payments related to this document.
