This Invoice has been prepared by Alexandra Chen Design Studio, a registered Graphic Designer operating in Canada Toronto, in accordance with the Canadian Income Tax Act and Ontario Harmonized Sales Tax (HST) regulations. All services rendered under this Invoice were performed within the Province of Ontario, Canada Toronto metropolitan area.

Terms & Conditions – Graphic Designer Services Agreement
- All work delivered under this Invoice is the exclusive intellectual property of the Graphic Designer (Alexandra Chen Design Studio) until full payment is received. Upon clearance of the total amount of $21,470.00 CAD, all rights, including but not limited to copyright, reproduction rights, and commercial usage rights, shall be transferred to the client.
- This Invoice covers the specific deliverables and hours outlined above. Any additional design work, expedited turnaround requests, or scope changes beyond the agreed-upon project brief will be invoiced separately at the Graphic Designer's standard hourly rate of $125.00 CAD per hour.
- All design files are delivered in industry-standard formats (Adobe Illustrator, Photoshop, InDesign, PDF, PNG, JPG). Source files (.ai, .psd, .indd) are included in the final delivery package for this Invoice.
- The Graphic Designer reserves the right to display completed work in their professional portfolio, website, and social media channels, unless a separate non-disclosure agreement (NDA) has been executed prior to project commencement.
- This Invoice is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Invoice or the associated services shall be resolved through mediation in Toronto, Ontario before proceeding to litigation.
- The client acknowledges that the Graphic Designer is an independent contractor and not an employee, agent, or partner of the client. This Invoice does not create a partnership, joint venture, or employment relationship between the parties.
- All communications regarding this Invoice, including payment confirmations, revision requests, and project updates, shall be conducted via email to the addresses listed above. Verbal agreements do not constitute amendments to this Invoice or the underlying service agreement.
- By accepting this Invoice, the client confirms that all deliverables have been reviewed and approved in their final form. No further revisions will be accepted after the due date without a separate written agreement and additional fees.
