Terms, Conditions & Notes
- This Invoice is issued by an independent Graphic Designer operating in Myanmar Yangon and is governed by the laws of the Republic of the Union of Myanmar.
- Payment is due within fifteen (15) calendar days from the Invoice date. A late-payment surcharge of 2% per month will be applied to any outstanding balance after the due date of 30 June 2025.
- All source files (Adobe Illustrator, Photoshop, Figma) will be transferred to the client upon full and final payment of this Invoice. Until payment is confirmed, the Graphic Designer retains full intellectual property rights over all deliverables.
- The client is granted a perpetual, non-exclusive license to use the final approved designs for internal and external marketing purposes within Myanmar Yangon and internationally, subject to the brand guidelines provided.
- Any additional work, scope changes, or revision requests beyond those specified in this Invoice will be quoted separately and require written approval from both parties before commencing.
- All designs are original work created by the Graphic Designer. The client warrants that any text, images, or brand elements supplied by the client for inclusion in the designs are free from third-party intellectual property claims.
- This Invoice is valid for 90 days from the date of issue. After this period, the Graphic Designer reserves the right to re-quote the services at current market rates prevailing in Myanmar Yangon.
- For any disputes arising from this Invoice, both parties agree to first attempt resolution through good-faith negotiation. If unresolved, the matter shall be referred to the Yangon District Court in Myanmar Yangon for adjudication.
