Terms, Conditions & Payment Instructions
This Invoice is issued by Awa Diop Creative Studio, a registered Graphic Designer operating in Senegal Dakar, in accordance with the commercial agreement dated 01 June 2025 between the parties. All services described herein were rendered by the Graphic Designer and her team at the client's premises and the studio located in Plateau, Senegal Dakar.
- Payment Method: Bank transfer to BICICI Bank, Account Name: Awa Diop Creative Studio, RIB: 00799 00123 4567890123 45. Alternatively, payment may be made via mobile money (Orange Money or Wave) to +221 77 123 45 67.
- Due Date: Full payment of this Invoice is due within fifteen (15) calendar days from the issue date, i.e., no later than 30 June 2025. Late payments will incur a penalty of 1.5% per month as stipulated under Senegalese commercial law.
- Revisions: The scope of this Invoice includes two (2) rounds of revisions per deliverable. Additional revision cycles requested by the client will be billed at the Graphic Designer's standard hourly rate of 25,000 XOF per hour.
- Intellectual Property: Upon full and final payment of this Invoice, all intellectual property rights to the final design deliverables transfer to the client. The Graphic Designer retains the right to display completed work in her professional portfolio and in design exhibitions held in Senegal Dakar.
- Source Files: All editable source files (AI, PSD, INDD) are included in the deliverables. The Graphic Designer warrants that all fonts, stock imagery, and third-party assets used in the designs are properly licensed for commercial use in Senegal and internationally.
- Dispute Resolution: Any disputes arising from this Invoice shall be resolved through amicable negotiation. Should resolution not be reached within thirty (30) days, the matter shall be submitted to the competent commercial court in Senegal Dakar.
- Validity: This Invoice is valid for sixty (60) days from the issue date. After this period, the Graphic Designer reserves the right to re-quote pricing due to potential changes in material costs, exchange rates, or service availability in the Senegal Dakar market.
