Terms and Conditions of This Invoice
- Payment Terms: Full payment of this Invoice is due within fifteen (15) calendar days of the issue date, no later than 30 June 2025. Payment shall be made in West African CFA Francs (XOF) via bank transfer to the Journalist's account at Ecobank Senegal, Dakar branch (IBAN: SN09 1000 2010 0000 1234 5678 901).
- Late Payment: In the event of non-payment by the due date, a late penalty of 1.5% per month shall be applied to the outstanding balance, in accordance with the commercial practices of Senegal Dakar and the provisions of the Senegalese Commercial Code.
- Intellectual Property: Upon full and final payment of this Invoice, all rights to the journalistic content, including articles, video segments, photographs, and audio recordings produced by the Journalist, shall be transferred to the client. Until payment is received in full, the Journalist retains all copyright and reproduction rights under the Senegalese Intellectual Property Code.
- Confidentiality: The Journalist agrees to maintain strict confidentiality regarding all sources, unpublished material, and internal editorial discussions conducted in Dakar, Senegal, in compliance with Article 12 of the Press Code of Senegal.
- Governing Law: This Invoice and all associated services are governed by the laws of the Republic of Senegal. Any disputes arising from this Invoice shall be resolved by the competent courts of Dakar, Senegal.
- Dispute Resolution: In the event of a disagreement, both parties agree to first attempt mediation through the Senegalese Press Syndicate (Syndicat National de la Presse du Sénégal) before pursuing legal action in the Dakar judicial system.
- Validity: This Invoice is valid for ninety (90) days from the date of issue. After this period, the Journalist reserves the right to reissue the Invoice with updated tax calculations as applicable in Senegal Dakar.
