Payment Terms & Conditions
This Invoice is payable within thirty (30) days of the invoice date, no later than July 15, 2025. Payment may be made via wire transfer, ACH, or certified check payable to Michael R. Thornton, Journalist. Bank details: First Republic Bank, Los Angeles Branch, Account No. XXXX-XXXX-4821, Routing: 121000248. A late payment fee of 1.5% per month will be applied to any balance remaining after the due date. This Invoice constitutes a final and complete accounting of all Journalist services rendered during the billing period. The client acknowledges that all work product, including manuscripts, recordings, and photographs produced by the Journalist, remains the intellectual property of the Journalist until full payment of this Invoice is received. All services were performed in compliance with the California Freelance Worker Protection Act and applicable United States Los Angeles municipal regulations governing independent contractors and media professionals.
Additional Notes
1. This Invoice reflects services exclusively performed by the undersigned Journalist in the capacity of an independent media professional operating within the United States Los Angeles jurisdiction. No subcontracted labor is included in this billing period.
2. The client is reminded that all source materials, interview recordings, and raw investigative files referenced in this Invoice are stored at the Journalist's secure office at 1420 Wilshire Boulevard and will be retained for a period of five (5) years in accordance with California Public Records retention guidelines applicable to media entities.
3. Should the client require additional Journalist services, revisions to previously delivered manuscripts, or extended coverage of ongoing stories in the United States Los Angeles area, a separate Invoice will be issued with a minimum 48-hour notice period for scheduling purposes.
4. This Invoice is governed by the laws of the State of California. Any disputes arising from this Invoice or the underlying Journalist services agreement shall be resolved through binding arbitration in Los Angeles County, United States, in accordance with the American Arbitration Association commercial rules.
