Payment Terms and Conditions
This Invoice is payable in full within thirty (30) calendar days from the date of issue, no later than July 15, 2025. Payment shall be made via bank transfer (TED/PIX) to the following account:

In the event of late payment, a penalty of two percent (2%) shall be applied, in addition to interest calculated on a pro-rata daily basis, in accordance with the provisions of the Brazilian Civil Code and the terms established in the retainer agreement (contrato de honorários advocatícios) signed on January 10, 2025. This Invoice is subject to the terms of the professional services contract and the ethical code of the Ordem dos Advogados do Brasil — Seção Rio de Janeiro (OAB/RJ).
Important Legal Notes
1. This Invoice constitutes a formal billing document for legal services rendered by the undersigned Lawyer in the capacity of retained counsel. All services were performed in compliance with the Brazilian Federal Law No. 8,906/1994 (Estatuto da Advocacia e a OAB) and the internal regulations of the OAB/RJ.
2. The professional fees described herein are exclusive of any success fee (honorários de êxito) that may become applicable upon a favorable judicial outcome, as stipulated in Article 22 of the retainer agreement. Any such additional compensation shall be invoiced separately upon the final resolution of the matter before the courts of Rio de Janeiro, Brazil.
3. This Invoice is issued in accordance with the National Tax Authority (Receita Federal do Brasil) regulations regarding the issuance of electronic service invoices (NF-e / NFS-e). The corresponding electronic tax document has been registered with the Municipal Tax Office of Rio de Janeiro (Secretaria Municipal de Fazenda — SMF/RJ) under protocol number NFS-e 2025/0089234.
4. The Lawyer and the law firm maintain full professional liability insurance (seguro de responsabilidade civil profissional) as required by the OAB/RJ. The policy is held with a licensed insurer operating in the State of Rio de Janeiro.
5. All communications, disputes, and interpretations arising from this Invoice shall be governed by the laws of the Federative Republic of Brazil, with exclusive jurisdiction of the courts of the Comarca do Rio de Janeiro, Estado do Rio de Janeiro.
