Terms Governing This Invoice
- This Invoice constitutes the final and complete statement of fees for the legal services described herein, rendered by the Lawyer and associated legal staff at Guangzhou Minghua Law Firm during the specified billing period.
- Payment is due within thirty (30) days of the Invoice date. Late payments shall accrue interest at a rate of 0.05% per day in accordance with the Civil Code of the People's Republic of China.
- All fees stated in this Invoice are in Chinese Yuan Renminbi (CNY). The Lawyer's professional fees are subject to Value Added Tax (VAT) at the rate of 6% as prescribed by the State Taxation Administration of China.
- The client acknowledges that this Invoice has been prepared in compliance with the Lawyers Law of the People's Republic of China and the Measures for the Administration of Legal Service Fees issued by the Ministry of Justice and the National Development and Reform Commission.
- Any dispute arising from or in connection with this Invoice or the underlying legal services shall be resolved through arbitration administered by the Guangzhou Arbitration Commission (Guangzhou International Arbitration Center) in accordance with its rules of arbitration. The seat of arbitration shall be Guangzhou, China.

- This Invoice is valid for one hundred eighty (180) days from the date of issue. After this period, the client must request a reissued Invoice from the firm's accounting department in Guangzhou.
- Confidentiality: All information contained in this Invoice and the underlying engagement is subject to the attorney-client privilege and the confidentiality obligations set forth in the engagement letter. The Lawyer shall not disclose the contents of this Invoice to any third party without the client's written consent, except as required by law or court order in China Guangzhou.
