1. This invoice constitutes a formal billing document issued by Al-Nile Legal Counsel & Advocates, a law firm duly registered with the Bar Association of Cairo, Arab Republic of Egypt, and licensed to practice law before all Egyptian courts, including the Cairo Commercial Court, the Cairo Court of Appeal, and the Egyptian Court of Cassation.

2. All professional legal services described herein were rendered in strict compliance with the Egyptian Lawyers' Syndicate Code of Professional Conduct (Law No. 176 of 1951, as amended) and the ethical standards governing legal practice in Cairo, Egypt.

3. The rates specified in this invoice are in accordance with the fee schedule agreed upon in the written retainer agreement dated 01 June 2025. Any additional services beyond the scope of the original engagement shall be billed separately upon prior written authorization from the Client.

4. Reimbursable expenses (court fees, stamp duties, notary charges, and translation costs) are charged at actual cost and are subject to the Client's right to inspect original receipts and payment confirmations issued by the relevant Cairo court registries and government offices.

5. This invoice is subject to the 14% Value Added Tax (VAT) as mandated by the Egyptian Tax Authority under Law No. 67 of 2016 and its implementing regulations. The firm's Tax Registration Number (TRN) is 552-841-903-772.

6. In the event of any dispute regarding the amounts stated in this invoice, the parties agree that the competent courts of Cairo, Egypt, shall have exclusive jurisdiction, in accordance with the governing law of the Arab Republic of Egypt.

7. This invoice is valid for a period of ninety (90) days from the date of issue. The Client is advised to retain this document for their tax records in compliance with Egyptian fiscal regulations.
