Payment Terms: This Invoice is payable within thirty (30) calendar days from the date of issue, i.e., no later than 15 July 2025. Payment must be made to the bank account specified above. In the event of late payment, statutory interest under Article 1284 of the Italian Civil Code (Codice Civile) shall apply, calculated at the rate set by the Banca d'Italia for the applicable period. Additionally, a fixed compensation of €50.00 for recovery costs shall be charged in accordance with Article 1284, paragraph 2, of the Italian Civil Code.

1. This Invoice constitutes the final and binding statement of all professional fees and expenses incurred by the undersigned Lawyer in connection with the legal matter referenced herein. The services described were rendered in full compliance with the professional code of conduct of the Albo Forense di Roma and the applicable provisions of the Italian Code of Professional Conduct for Lawyers (Codice Deontologico Forense).

2. The hourly rate of €250.00 per hour, as stated in this Invoice, was agreed upon in writing at the inception of the professional engagement and is consistent with the fee schedule established by the Consiglio dell'Ordine degli Avvocati di Roma for the practice area of civil litigation in Italy Rome.

3. All court fees, registration charges, and third-party costs listed under item 08 are reimbursable expenses and are not included in the professional fee calculation. These amounts are charged at cost and are subject to the applicable VAT rate as determined by Italian tax law.

4. The client acknowledges that this Invoice covers all services rendered up to and including the date of issue. Any further legal work, including but not limited to appellate proceedings, enforcement actions, or additional hearings, will be subject to a separate Invoice and prior written authorization from the client.

5. In the event of any dispute regarding the amounts stated in this Invoice, the parties agree to seek resolution through the mediation procedure provided for under Legislative Decree 28/2010 (Codice della Conciliazione) before the Camera Arbitrale of the Ordine degli Avvocati di Roma. Failing amicable resolution, the competent court shall be the Tribunale di Roma, Italy Rome.

6. This Invoice is issued in accordance with the requirements of the Italian electronic invoicing system (Fatturazione Elettronica) as mandated by the Agenzia delle Entrate. A digital copy in XML format has been transmitted to the SDI (Sistema di Interscambio) and is available upon request. The paper copy of this Invoice is provided for the client's convenience and record-keeping purposes.

7. The undersigned Lawyer confirms that all professional services described in this Invoice were performed personally or under the direct supervision of the undersigned, in strict adherence to the principles of independence, confidentiality, and diligence as required by the Italian legal profession.
