This Invoice must be settled in full within thirty (30) calendar days from the date of issue, as stipulated in the professional services agreement (Contrato de Prestación de Servicios Legales) executed between the Lawyer and the Client. In the event of non-payment by the due date, a late payment interest of 1.5% per month (equivalent to the maximum rate established by the Superintendencia de Banca, Seguros y AFP of Peru) shall be applied to the outstanding balance. The Lawyer reserves the right to suspend all ongoing legal proceedings and representations in the Judicial District of Peru Lima until full settlement of this Invoice is confirmed.
LEGAL NOTICES AND PROFESSIONAL DISCLOSURES1. This Invoice constitutes a formal billing document issued by the undersigned Lawyer, a duly licensed attorney registered with the Colegio de Abogados de Lima and the National Bar Association of Peru. All services described herein were rendered in strict compliance with the Peruvian Code of Ethics for Lawyers (Código de Ética del Abogado) and the applicable provisions of the Peruvian Civil Code, Commercial Code, and the Organic Law of the Judiciary.
2. The professional fees set forth in this Invoice are exclusive of any court costs, expert witness fees, or third-party expenses that may be incurred during the pendency of the legal matters referenced. Such additional costs, if any, shall be itemized in a supplementary Invoice and communicated to the Client in writing prior to their incurrence.
3. All legal advice, documents, and work product generated by the Lawyer in connection with the services billed in this Invoice are protected by attorney-client privilege under Peruvian law. The Client acknowledges that the contents of this Invoice and the underlying engagement are confidential and shall not be disclosed to third parties without the prior written consent of the Lawyer, except as required by law or court order issued by a competent tribunal in Peru Lima.
4. This Invoice is governed by and shall be interpreted in accordance with the laws of the Republic of Peru. Any dispute arising from or related to this Invoice or the professional services rendered shall be subject to the exclusive jurisdiction of the civil and commercial courts of the Judicial District of Peru Lima. The parties expressly waive any right to arbitrate or litigate in any other jurisdiction.
5. The Client is advised to retain a copy of this Invoice for tax and accounting purposes in accordance with the regulations of SUNAT. The electronic version of this Invoice, bearing the digital signature of the Lawyer, carries the same legal validity as a physical copy under the Peruvian Electronic Documents Law (Ley de Documentos Electrónicos, D.S. 003-2001-PCM).
