Terms, Conditions & Payment Instructions
- Payment Method: Bank transfer to Société Générale Côte d'Ivoire, Account Name: Bibliothèque Abidjan Services SARL, IBAN: CI02 0000 0000 0000 0000 0000 001, SWIFT: SGCIABJJ. Payments must be made in West African CFA Francs (XOF).
- Due Date: This Invoice is payable within thirty (30) calendar days from the Invoice date of 15 June 2025. Late payments shall incur a penalty of 1.5% per month as stipulated under the Commercial Code of the Republic of Ivory Coast.
- Scope of Librarian Services: All Librarian services rendered under this Invoice are subject to the Master Service Agreement (MSA) signed on 01 March 2025. Any additional or out-of-scope work performed by the Librarian team must be authorized in writing by the Client's designated project manager prior to commencement.
- Confidentiality: The Librarian and all associated staff are bound by strict confidentiality obligations regarding all documents, patron records, and institutional data handled during the course of services in Ivory Coast Abidjan. This obligation survives the termination of this Invoice by a period of five (5) years.
- Dispute Resolution: Any dispute arising from this Invoice shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Abidjan, Ivory Coast, in accordance with the applicable laws of the Republic of Côte d'Ivoire.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting the Abidjan metropolitan area.
- Validity: This Invoice is valid for ninety (90) days from the date of issue. After this period, the amounts stated herein may be subject to revision based on prevailing economic conditions in Ivory Coast.
