Invoice Terms & Conditions
1. Payment Terms: This Invoice is payable within thirty (30) calendar days of the Invoice date via electronic funds transfer (EFT) to the account specified below. A 2% early payment discount applies if the full amount is remitted on or before June 30, 2025. Late payments shall accrue interest at 1.5% per month in accordance with the Ontario Interest Act and applicable Canada Toronto commercial regulations.
2. Scope of Work: All services rendered by the Mathematician are governed by the Master Services Agreement (MSA-2024-117) executed on January 15, 2024, between Whitfield Mathematical Consulting Ltd. and Meridian Financial Analytics Corp. Any additional mathematical modelling, proof verification, or on-site consultation beyond the hours listed in this Invoice shall be billed separately at the agreed-upon hourly rate.
3. Intellectual Property: All mathematical derivations, theorems, proofs, algorithms, and technical documentation produced by the Mathematician during the engagement period remain the exclusive intellectual property of Whitfield Mathematical Consulting Ltd. unless otherwise stated in a separate written assignment. The client is granted a perpetual, non-exclusive, non-transferable licence to use the deliverables for internal business operations within Canada Toronto and its affiliated entities.
4. Tax Compliance: The Harmonized Sales Tax (HST) at 13% has been applied as required by the Canada Revenue Agency (CRA) for services rendered in the Province of Ontario. This Invoice has been issued in compliance with the Excise Tax Act (R.S.C., 1985, c. E-15) and all applicable municipal tax regulations for the City of Toronto, Canada.
5. Dispute Resolution: Any disputes arising from this Invoice or the underlying services shall be resolved through binding arbitration in Canada Toronto under the rules of the Arbitration Institute of the Ontario Bar Association. The governing law for this Invoice and all associated agreements is the law of the Province of Ontario and the federal laws of Canada applicable therein.
