Payment Terms: 50% advance payment upon confirmation of this Invoice; remaining 50% to be settled within 15 days of the final service delivery date. Late payments shall attract interest at 1.5% per month as per the applicable Indian commercial law. This Invoice is valid for 30 days from the date of issue. All payments are to be made in Indian Rupees (INR) to the above-mentioned account. The Musician reserves the right to withhold services in the event of non-payment beyond the stipulated due date.
Important Notes & Terms of Service
- This Invoice is issued by a registered Professional Musician operating out of India Mumbai and is governed by the laws of the Republic of India, specifically the Central Goods and Services Tax (CGST) Act, 2017, and the Maharashtra State GST regulations.
- All Musician services listed in this Invoice have been performed at venues located within the geographical boundaries of Mumbai, Maharashtra, India. The place of supply for GST purposes is India Mumbai.
- The Musician warrants that all compositions, arrangements, and live performances delivered under this Invoice are original works. Intellectual property rights for the custom composition (Item #4) shall be transferred to the Client upon full and final payment of this Invoice.
- Any additional Musician services requested beyond the scope defined in this Invoice shall be billed separately at the Musician's standard hourly rate of INR 3,500 per hour, subject to a minimum engagement of 2 hours.
- The Musician shall not be liable for any delays or cancellations caused by force majeure events, including but not limited to severe weather conditions in India Mumbai, government-mandated lockdowns, or venue-related technical failures beyond the Musician's reasonable control.
- This Invoice constitutes a legally binding document between the Musician and the Client. Any disputes arising from this Invoice shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
- The Client acknowledges receipt of this Invoice and agrees to the terms stated herein by making the advance payment. A digital copy of this Invoice has been sent to the Client's registered email address for record-keeping and tax compliance purposes.
