Invoice Terms, Conditions & Notes
1. Payment Terms: This Invoice is payable in full within thirty (30) calendar days of the Invoice date. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2210.2, applicable within the State of California, United States.
2. Musician Rights & Licensing: All original compositions and recorded performances delivered under this Invoice remain the exclusive property of Meridian Entertainment Productions, LLC, as a work made for hire, pursuant to the Musician Services Agreement. The Musician, Jonathan R. Whitfield, retains no residual rights to the recorded works except for the right of moral attribution as a performing Musician, as protected under United States federal copyright law (17 U.S.C. § 106) and California state law.
3. Tax Compliance: This Invoice is issued in compliance with all applicable tax regulations of the City of Los Angeles, Los Angeles County, the State of California, and the United States of America. The Musician's Federal Employer Identification Number (FEIN) is provided above for the client's records and for the preparation of IRS Form 1099-NEC, which will be issued by January 31, 2026, if the total payments exceed the $600 threshold established by the Internal Revenue Service.
4. Dispute Resolution: Any disputes arising from this Invoice or the underlying Musician services agreement shall be resolved through binding arbitration in Los Angeles, California, United States, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
