Payment Terms & Conditions
This Invoice must be settled in full within thirty (30) calendar days from the date of issue. Payment shall be made via bank transfer to the account specified above, or by certified check payable to Carlos Alejandro Ríos Mendoza. All payments are to be made in United States Dollars (USD) as agreed upon in the service contract, with the equivalent amount in Bolívares (Bs.) calculated at the official Banco Central de Venezuela (BCV) exchange rate on the day of payment.
Late payments are subject to a penalty of 1.5% per month of delay, in accordance with Venezuelan commercial law. The Musician reserves the right to suspend any further services or deliverables until the outstanding balance on this Invoice is cleared in full.
This Invoice constitutes a valid fiscal document under the regulations of the Servicio Nacional Integrado de Administración Aduanera y Tributaria (SENIAT) of Venezuela Caracas. The RIF numbers listed are registered and active for the purpose of issuing and receiving this Invoice.
Important Notes Regarding This Invoice
1. The Musician, Carlos Alejandro Ríos Mendoza, confirms that all services rendered were performed in Venezuela Caracas and comply with all applicable local regulations regarding live performance, noise ordinances, and public entertainment permits issued by the Alcaldía de Chacao.
2. The custom composition delivered under Line Item 3 grants the client a non-exclusive, perpetual license for internal corporate use. Any public broadcast, streaming, or commercial exploitation of the composition requires a separate written agreement with the Musician.
3. All audio recordings delivered under Line Item 6 remain the intellectual property of the Musician. The client receives a limited license for archival and internal promotional purposes only.
4. This Invoice is valid for a period of ninety (90) days from the date of issue. After this period, the Musician reserves the right to reissue the Invoice with updated tax calculations if Venezuelan fiscal regulations have changed.
5. Any disputes arising from this Invoice shall be resolved under the jurisdiction of the commercial courts of Venezuela Caracas, in accordance with the applicable provisions of the Venezuelan Commercial Code.
