Invoice Notes & Oceanographer's Remarks
This Invoice is issued in accordance with the terms of Contract No. MMA-2025-0342 between DeepBlue Oceanographic Institute and the Ministério do Meio Ambiente e Mudança do Clima. All oceanographic fieldwork was conducted under the supervision of Dr. Marcus Aurelio Ferreira, Lead Oceanographer, in full compliance with Brazilian environmental regulations (CONAMA Resolution 430/2011) and the International Maritime Organization guidelines.
- All data collected during the campaign is the intellectual property of the client and will be archived at the Ministry's data centre in Brasília.
- The Oceanographer certifies that all measurements were taken using NIST-traceable instruments and that quality assurance protocols were followed at every sampling station.
- Payment for this Invoice is due within 30 calendar days of the issue date via bank transfer to the account specified below. Late payments are subject to a 1% monthly interest charge as per Brazilian commercial law (Código Civil, Art. 406).
- A copy of this Invoice has been registered with the Federal Revenue Service (Receita Federal) under electronic invoice (NF-e) protocol number 2025.06.15.00847.
- The Oceanographer's professional liability insurance (policy #DLI-2025-7789) was active throughout the entire service period in Brazil.
Terms & Conditions
1. This Invoice constitutes a final and binding financial document. Any disputes regarding the scope of oceanographic services rendered shall be resolved through arbitration in Brasília, DF, Brazil, in accordance with the rules of the CAM-CCBC.
2. The Oceanographer reserves the right to withhold final data delivery until full payment of this Invoice is confirmed in the DeepBlue Oceanographic Institute's bank account (Banco do Brasil, Ag. 1234-5, Conta Corrente 67890-1, CNPJ 12.345.678/0001-90).
3. All oceanographic data, maps, and reports referenced in this Invoice are subject to the data-sharing agreement signed on 01 March 2025. Unauthorized reproduction or distribution of the Oceanographer's findings without written consent is prohibited under Brazilian Law No. 9.609/1998.
4. In the event of force majeure (severe weather, maritime restrictions, or government-mandated operational halts), the Oceanographer may extend the service period by up to 15 days without additional charge. Any extension beyond this period will be invoiced separately.
5. This Invoice is governed by the laws of the Federative Republic of Brazil. The competent jurisdiction for any legal proceedings is the Federal Court of Brasília, DF.
