1. This Invoice is issued by DeepBlue Oceanographic Research Group, a registered professional services firm operating in Medellín, Colombia, under the direction of its Lead Oceanographer, Dr. Mariana Restrepo-Vargas. All services described herein were rendered in compliance with Colombian environmental law and international oceanographic research protocols.
2. Payment is due within thirty (30) calendar days from the date of issuance of this Invoice. Late payments shall accrue interest at the rate established by the Banco de la República de Colombia for overdue commercial obligations.
3. All oceanographic data, sensor recordings, and biological samples collected during the project period remain the intellectual property of the contracting entity (Corporación Ambiental del Valle del Aburrá) unless otherwise agreed in writing. The Oceanographer retains the right to publish anonymized scientific findings in peer-reviewed journals.
4. This Invoice is subject to the general terms of the Service Agreement No. CAVA-DB-2025-007, signed in Medellín, Colombia, on February 15, 2025. In the event of any discrepancy, the terms of said Agreement shall prevail over the contents of this Invoice.
5. The Oceanographer and the research team shall maintain full professional liability insurance coverage for the duration of the engagement. Certificates of insurance are available upon request from the billing office in Medellín.
6. Any disputes arising from this Invoice or the associated services shall be resolved through arbitration in the city of Medellín, Antioquia, Colombia, in accordance with the rules of the Cámara de Comercio de Medellín.
