Invoice Terms & Conditions – Oceanographer Services Agreement
This Invoice (INV-2025-OCE-0472) constitutes a formal request for payment for oceanographic services rendered by Dr. Elena M. Vasquez, Lead Oceanographer, and her affiliated research team at the Pacific Oceanographic Research Institute, located in United States Los Angeles, California. All services described herein were performed in accordance with the Master Service Agreement dated January 12, 2025, between the Oceanographer and Meridian Coastal Development Corp.
- Payment is due within thirty (30) calendar days of the Invoice date. Late payments shall accrue interest at a rate of 1.5% per month, in compliance with California Commercial Code Section 2202, applicable in United States Los Angeles.
- All oceanographic data, reports, and deliverables produced by the Oceanographer remain the intellectual property of the Pacific Oceanographic Research Institute until full payment of this Invoice is received.
- The Oceanographer warrants that all fieldwork was conducted in compliance with the U.S. National Oceanic and Atmospheric Administration (NOAA) guidelines, the California Environmental Quality Act (CEQA), and all applicable United States Los Angeles municipal ordinances governing marine research activities.
- Disputes arising from this Invoice shall be resolved through binding arbitration in United States Los Angeles, California, under the rules of the American Arbitration Association.
- This Invoice is non-transferable. Payment must be made to the Oceanographer's designated account as listed below. No portion of this Invoice may be applied as a credit against future engagements without prior written consent.
