Payment Terms & Conditions
This Invoice must be settled in full within thirty (30) calendar days from the date of issue. Payment shall be made in United States Dollars (USD) via wire transfer to the Caribbean Oceanographic Research Institute account at Banco Mercantil, Venezuela Caracas branch, Account No. 0105-0045-88-2025008471.
A late payment penalty of 1.5% per month will be applied to any outstanding balance after the due date of July 15, 2025, in accordance with Venezuelan commercial law (Código de Comercio, Art. 1147).
The Oceanographer retains all intellectual property rights to the raw data, methodologies, and analytical models developed during this engagement. The client in Venezuela Caracas receives a licensed copy of all final reports and datasets for regulatory submission purposes only.
This Invoice is valid for 90 days from the date of issue. After this period, the Oceanographer reserves the right to renegotiate rates based on current market conditions in Venezuela Caracas.
Important Notes Regarding This Invoice
1. All oceanographic fieldwork described in this Invoice was conducted in compliance with the Venezuelan Maritime Authority (Autoridad Marítima de Venezuela) permits AMV-2025-0442 and AMV-2025-0443.
2. The Oceanographer, Dr. Alejandro Hernández, is a certified marine scientist registered with the Venezuelan Council of Professional Engineers and Scientists (COVENIN) and holds a Ph.D. in Physical Oceanography from the Universidad Central de Venezuela, Caracas.
3. This Invoice covers all services rendered between March 1, 2025, and June 10, 2025. Any additional work requested after this period will be subject to a separate Invoice and prior written authorization from the client in Venezuela Caracas.
4. The client acknowledges receipt of the final technical report (Ref: CORI-TR-2025-089) delivered on June 12, 2025, at the Ministry offices in Venezuela Caracas. This Invoice constitutes the final billing for the referenced contract.
5. For any disputes arising from this Invoice, the parties agree to resolve matters through arbitration in Venezuela Caracas under the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
