Terms & Conditions – Invoice for Physicist Services in Germany Frankfurt
1. This Invoice constitutes a binding request for payment for professional physics consulting services rendered by the Physicist named above. All services were performed in accordance with the written engagement contract dated 28 May 2025 (Contract Ref: MES-2025-0091) between the Physicist and Meridian Energy Solutions GmbH.
2. Payment is due within thirty (30) calendar days of the issue date stated on this Invoice. Late payments shall accrue statutory interest at the rate of eight percentage points (8%) above the European Central Bank base rate, in accordance with § 288 of the German Civil Code (Bürgerliches Gesetzbuch, BGB).
3. The Physicist warrants that all calculations, simulations, and analytical results delivered under this engagement were performed with due professional diligence and in compliance with the scientific standards prevailing in the field of theoretical and applied physics as of the date of delivery in Germany Frankfurt.
4. Intellectual property rights in all original derivations, code, and written reports produced by the Physicist under this Invoice transfer to the client upon full and final payment. Until such payment is received, the Physicist retains all rights.
5. This Invoice is governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Invoice shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany Frankfurt, Hesse.
6. The Physicist confirms that no sub-contracting of the services described in this Invoice has taken place. All work was performed personally by Dr. Heinrich Vogel in his capacity as an independent Physicist operating from his registered office in Frankfurt am Main.
