Terms & Conditions
- This Invoice is issued in accordance with the Service Agreement dated 01 May 2025 between the Physicist (Dr. Aung Kyaw Min) and Myanmar Energy & Infrastructure Development Co., Ltd., both parties being registered entities operating within the Republic of the Union of Myanmar.
- All services described herein were performed by the Physicist in Yangon, Myanmar, or at locations specifically designated by the client within Myanmar's administrative boundaries. The Physicist holds a valid professional practice license issued by the Myanmar Physics Society and the Ministry of Science and Technology.
- Payment is due within fifteen (15) calendar days from the Issue Date stated above. Late payments shall accrue interest at a rate of 1.5 percent per month, in compliance with Myanmar's Commercial Law provisions.
- All intellectual property, research findings, and technical reports generated by the Physicist during the engagement period remain the sole property of the Physicist unless a separate written assignment agreement is executed. The client receives a non-exclusive, non-transferable license to use the deliverables for internal operational purposes within Myanmar.
- This Invoice is subject to the tax regulations of the Myanmar Revenue Department. A valid Tax Invoice receipt will be issued upon confirmation of full payment. The client is responsible for any withholding tax obligations under Myanmar's Income Tax Law.
- Any disputes arising from this Invoice or the underlying services shall be resolved through mediation in Yangon, Myanmar, in accordance with the Myanmar Arbitration Law. The courts of Yangon shall have exclusive jurisdiction.
- The Physicist warrants that all calculations, analyses, and recommendations provided are accurate to the best of current scientific understanding and professional standards. The Physicist shall not be held liable for consequential damages arising from the client's implementation of the recommendations.
- This Invoice is valid for ninety (90) days from the Issue Date. After this period, the Physicist reserves the right to reissue the Invoice at updated rates reflecting any changes in the Myanmar Kyat exchange rate or applicable government fee structures.
