Terms and Conditions
1. This Invoice is governed by the laws of New Zealand and the professional services agreement referenced above. All services were performed by a qualified Physicist registered with the New Zealand Institute of Physics and Engineering (NZIPE).
2. Payment is due within thirty (30) calendar days of the Invoice issue date. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the New Zealand Consumer Guarantees Act 1993 and applicable commercial terms.
3. All work performed by the physicist in New Zealand Auckland was conducted in compliance with the Health and Safety at Work Act 2015, the Resource Management Act 1991, and all relevant Auckland Council bylaws pertaining to scientific fieldwork and laboratory operations.
4. Intellectual property generated during the scope of this engagement, including all physics models, simulation outputs, and technical reports, shall remain the property of Whitfield Quantum Research Associates unless otherwise stipulated in the master services agreement.
5. The physicist reserves the right to publish anonymised findings in peer-reviewed journals, provided that no confidential client data is disclosed. Prior written consent from Meridian Energy Solutions Ltd. is required for any publication referencing specific project details.
6. Disputes arising from this Invoice shall be resolved through mediation in Auckland, New Zealand, in accordance with the Disputes Standards Act 2017. If mediation fails, the matter shall be referred to the District Court of Auckland.
7. This Invoice constitutes a tax invoice as defined under the Goods and Services Tax Act 1985 (New Zealand). The 15% GST applied is recoverable by the client if they are a registered GST entity.
