Terms, Conditions & Payment Instructions
This Invoice is issued by Dr. Adewale Okafor, a licensed and registered Physicist operating under the Lagos Advanced Physics Research Institute, in accordance with the professional services agreement dated 02 March 2025 between the Physicist and Meridian Energy Solutions Ltd. All services described herein were performed within the jurisdiction of Nigeria Lagos, and this Invoice is governed by the laws of the Federal Republic of Nigeria.
- Payment is due within fifteen (15) calendar days of the Invoice date. Late payments shall attract a penalty interest of 2% per month as stipulated under the Nigeria Lagos commercial code.
- Remittance shall be made via bank transfer to: Zenith Bank Plc, Victoria Island Branch, Lagos, Nigeria. Account Name: Lagos Advanced Physics Research Institute. Account Number: 1014-8827-3391. SWIFT: ZENINLAG.
- The Physicist retains full intellectual property rights over all proprietary models, simulation code, and analytical frameworks developed during the engagement. A non-exclusive licence for internal use is granted to the client upon full settlement of this Invoice.
- All experimental data, calibrated instruments, and field notes collected in Nigeria Lagos remain the joint property of both parties as outlined in Section 14 of the master services agreement.
- This Invoice is valid for ninety (90) days from the date of issue. After this period, a revised Invoice reflecting current market rates for Physicist consulting services in Nigeria Lagos will be required.
- Any disputes arising from this Invoice shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
