Terms and Conditions of This Invoice
This Invoice is issued by Dr. Eleanor M. Whitfield, operating as an independent Physicist consultant registered in the United Kingdom London, in accordance with the Supply of Services (United Kingdom) Act 1982 and applicable VAT regulations administered by HM Revenue & Customs.
- Payment of the full amount stated on this Invoice is due within thirty (30) calendar days of the issue date, no later than 14 July 2025. Late payments will attract interest at a rate of 4% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998.
- All services rendered by the Physicist are subject to the Master Service Agreement dated 15 January 2025, executed between the parties in London, United Kingdom. In the event of any conflict between this Invoice and the Master Service Agreement, the terms of the Master Service Agreement shall prevail.
- The Physicist warrants that all scientific analyses, reports, and recommendations provided under this Invoice were conducted with due professional care, in accordance with the standards expected of a qualified Physicist practising in the United Kingdom, and in compliance with the Royal Society of London's code of conduct for independent scientific consultants.
- Intellectual property generated specifically for the client during the engagement period described in this Invoice shall be transferred to the client upon full and final payment. All pre-existing methodologies, models, and software tools of the Physicist remain the exclusive property of the Physicist.
- Payment shall be made via direct bank transfer to the following account: Barclays Bank, Sort Code: 20-45-76, Account Number: 55882211, Reference: INV-2025-LON-04782. Please ensure the Invoice number is quoted as a payment reference to facilitate accurate reconciliation.
- This Invoice is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Invoice shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- The Physicist reserves the right to suspend any ongoing services if payment is not received by the due date stated above. A written notice of suspension will be issued no fewer than five (5) business days prior to any interruption of services.
