Invoice Notes & Terms
This Invoice is issued in accordance with the Master Services Agreement (MSA) dated 03 January 2025 between Whitmore Project Management Ltd and Meridian Infrastructure Group plc. All Project Manager services described herein were delivered in and around the United Kingdom London area during the period of 01 May 2025 to 13 June 2025.
Payment of this Invoice is due within thirty (30) calendar days of the Invoice date, as stipulated in the United Kingdom Late Payment of Commercial Debts (Interest) Act 1998. Late payments may accrue interest at a rate of 4% above the Bank of England base rate, calculated on a daily basis from the due date until the date of payment in full.
The Project Manager services outlined in this Invoice have been performed in full compliance with the United Kingdom's Construction (Design and Management) Regulations 2015, the Health and Safety at Work etc. Act 1974, and all applicable local authority planning requirements for the London, United Kingdom jurisdiction. All deliverables have been accepted in writing by the Client's Head of Operations.
Should any dispute arise regarding the amounts stated on this Invoice, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within fourteen (14) days, the matter shall be referred to mediation under the rules of the Centre for Effective Dispute Resolution (CEDR) in London, United Kingdom, prior to any formal legal proceedings in the courts of England and Wales.
This Invoice constitutes a final and complete statement of all Project Manager fees for the referenced project period. No additional charges shall be incurred unless a formal variation order is executed in writing by both parties in accordance with Clause 12 of the MSA.
