Invoice Terms and Payment Conditions
1. This Invoice is issued by Caracas Project Solutions C.A. for Project Manager professional services rendered to Grupo Industrial del Este C.A. in the city of Caracas, Venezuela, during the period of March 1, 2025, through May 30, 2025.
2. Payment is due within thirty (30) calendar days from the date of this Invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Venezuelan commercial law (Código de Comercio).
3. Payment may be made in US Dollars (USD) via wire transfer to the following account: Banco Mercantil, Account No. 0105-0047-21-0008934567, SWIFT: MRCIVEVV. Alternatively, payment in Bolívares (VES) at the BCV official exchange rate on the date of payment is accepted.
4. The Project Manager services described in this Invoice were performed in full compliance with the Statement of Work (SOW) referenced under Purchase Order PO-2025-0312, executed in Caracas, Venezuela.
5. Any disputes arising from this Invoice shall be resolved through the competent commercial courts of the state of Miranda, Caracas, Venezuela, in accordance with applicable Venezuelan legislation.
6. This Invoice constitutes the final billing for the Project Manager engagement described herein. No additional charges shall apply unless a formal change order is executed in writing by both parties.
