1. Scope of Work: This Invoice covers the specific Robotics Engineering services detailed above. Any additional requirements or scope changes must be agreed upon in writing via a Change Order.
2. Intellectual Property: Upon full payment, all custom code, designs, and documentation created specifically for this project become the property of the Client. Pre-existing libraries and frameworks remain the property of Midwest Robotics Solutions.
3. Warranty: A 90-day warranty is provided on all engineering work and software integration. This warranty covers defects in workmanship but does not cover hardware failures or damage caused by misuse.
4. Late Payments: Invoices not paid by the due date are subject to a late fee of 1.5% per month on the outstanding balance.
5. Governing Law: This agreement and Invoice are governed by the laws of the State of Illinois, United States.
